Dated 2nd April 1805.

Memorandum of an Agreement made the
second day of April one thousand eight hundred
and five Between Walter Long Marshall of Chipping
Norton in the County of Oxford Surgeon of the one part &
Charles Phillips of Ratcliffe Highway in the County of Middlesex
Surgeon of the other part as follows. The said Walter Long
Marshall for and in consideration of the Sum of one
thousand and ninety Pounds of lawful money of the
united Kingdom of Great Britain and Ireland current
in England to be paid by him the said Charles Phillips
his heirs executores administrators or assigns the s[ai]d
Walter Long Marshall his heirs executors administrators
or assigns in manner and at the times hereinafter
mentioned Doth hereby for himself his heirs executors
administrators and assigns agree with the said Charles
Phillips
his heirs executors administrators and assigns
That he the said Walter Long Marshall his heirs
executors administrators and assigns and all other
Persons whatsoever having any estate or interest in the
premises shall and will on or before the twenty seventh
day of April instant well and sufficiently Grant
Bargain Sell Convey and Assure unto the said Charles
Phillips
his heirs executors administrators and assigns
To the use of the said Charles Phillips his heirs executors
administrators and assigns for ever or unto such other
Person or Persons use or uses as he or they shall
appoint - All that Messuage or Tenement situate at
Chipping Norton aforesaid now in the occupation of him
the said Walter Long Marshall with the Yard Garden
Close Outbuildings Common and premises with the
appurtenances thereto belonging And all the Shelves
Desks Counters Drawers and Fixtures Drugs Bottles
Potts and Articles whatsoever now being in the Shop
in the said message And all the Grates and Fire irons
therein and the Brewing Copper in the Brewhouse - free
from all incumbrances except Chiefrent Land-tax and
Property-tax And that in such Conveyance and

Assurance to be made of the said premises as afores[ai]d
all usual and necessary Covenants Declarations
and agreements shall be made and inserted
And the said Charles Phillips for himself his
heirs executors and administrators in consideration
of the premises Doth hereby agree with the said Walter
Long Marshall his heirs executors administrators and
assigns that he the said Charles Phillips his heirs
executors administrators or assigns shall and will on
the Execution of the said Conveyances and Assurances
of the said premises in manner as aforesaid on or before
the twenty seventh Day of April instant well and truly
pay or cause to be paid unto the said Walter Long
Marshall his heirs executors administrators or assigns
the sum of Five hundred and forty five Pounds of lawful
money aforesaid being one moiety of the purchase
money and shall and will then give such Security for
the due payment of the Residue thereof on the twenty
seventh day of August next as the said Walter Long
Marshall his heirs executors administrators or assigns
shall approve and reasonably require. And it is
hereby agreed by and between the parties to these
presents, that the said sum of one thousand and
ninety pounds shall be deemed the purchase money
of the premises and that all Trees and Shrubbs shall be
included, That all Taxes & Outgoings shall be paid by
the said Walter Long Marshall his executors adm[inistrat]ors or
assigns to the sixth day of April instant, that all the
Expences incur'd by making out the Title & Conveying the
premises as aforesaid shall be equally borne and paid
by the said parties, That the said Charles Phillips shall
have possession of the premises and the profits to arise from
the business of the said Walter Long Marshall from and after
the said sixth day of April to his own use and benefit But
provided he shall not enter thereon before or on the twenty
seventh day of April instant that then the Profits to arise
therefrom after the said twenty seventh day of April and until

the said Charles Phillips shall take to the business shall
belong to the said Walter Long Marshall his executors
administrators and assigns. In witness whereof the said
parties have hereunto set their Hands the day and year first
above written

Be it remembered that before the Ex[ecuti]on or this agreement, It was
agreed between the Parties hereto, that the said Walter Long Marshall
shall not directly or indirectly practice as a Surgeon Apothecary or
Midwife in Chipping Norton during the life of the said Charles Phillips
or within fifteen miles of Chipping Norton, And that he the said
Walter Long Marshall
will at any time hereafter if required by the said Charles Phillips
enter into a Bond in the penal sum of Five hundred pounds, with
a Condition to the effect aforesaid. Witness the hands of the parties
